This Client Services Agreement (the "Agreement") is between BookedPod, a service of IMS ("BookedPod", "we", "us") and the person or company completing signup (the "Client", "you"). By checking the acceptance box and completing checkout, you agree to this Agreement. Your electronic acceptance is your signature, and no separate signed copy is required.
1. The service
We find, pitch, and book podcast guest appearances for you. That includes building a target list of shows matched to your goals, running personalized outreach to hosts, handling all follow-up and scheduling, and delivering each booking as a confirmed recording slot on your calendar, along with a prep brief before each appearance and repurposing support afterward.
2. Fees
There are exactly two fees:
- $99 per month (the "Subscription"), billed in advance each month. It covers database access, sending infrastructure, email verification, research, and outreach.
- $300 per Confirmed Placement (the "Placement Fee"), billed when and only when a placement is confirmed as defined in Section 3.
There is no setup fee, no onboarding fee, no success fee, and no percentage of anything. The only other cost that can ever appear is a host's own appearance fee under Section 4, which always requires your prior approval.
3. What "Confirmed Placement" means
A placement is a Confirmed Placement only when all of the following are true:
- a recording date and time is confirmed on your calendar;
- you approved the show before we pitched it; and
- you approved any host appearance fee before we committed to it.
You are not charged a Placement Fee when:
- a host replies and says they are interested;
- a host holds a pre-call and then decides not to move forward;
- you decide a show is not a fit and pass on it; or
- a booking falls through or a host goes quiet before a recording is confirmed.
If a confirmed booking is cancelled by the host before recording, we will replace it with another approved show at no additional Placement Fee, or credit the fee against your next invoice, at your choice. If you miss a confirmed recording, we will work with the host to reschedule it, but the Placement Fee for that booking remains earned.
4. Host appearance fees
A minority of shows charge their own appearance fee, typically $100 to $200. We disclose any host fee to you before committing you to that show, and you decide yes or no. A host fee is never added to your bill without your prior approval. Host fees are passed through at cost.
5. Payment
You provide a payment card at signup, which is stored securely by our payment processor, Stripe. You authorize us to charge that card (a) the Subscription each month, and (b) one Placement Fee each time a Confirmed Placement occurs, without a separate checkout. Every Placement Fee is billed as its own itemized invoice naming the show and the booking date, with a receipt delivered to your email and available in your client portal. If a charge fails, we may pause outreach until payment is resolved.
6. Your responsibilities
- Complete onboarding honestly and reasonably promptly.
- Review and approve or decline proposed shows within a reasonable time.
- Show up to confirmed recordings, or tell us early so we can reschedule.
- Be responsible for what you say on shows. You speak for yourself, not for us.
7. Term and cancellation
This Agreement is month to month with no minimum term. You can cancel any time from your client portal or by emailing us; cancellation takes effect at the end of the current billing period, and no further Subscription charges occur after that. Placement Fees for placements confirmed before cancellation takes effect remain due. We can end this Agreement with notice, in which case any unused portion of a prepaid month is refunded.
8. No guarantee of outcomes
We commit to the work: real research, real pitching, and up to 50 follow-ups on a show worth chasing. We do not and cannot guarantee a specific number of placements in a given month, a specific show, or specific business results from any appearance. The pricing is built around exactly this: a month with no confirmed placements costs you only the Subscription.
9. Publicity
You allow us to reference your name and your booked appearances as client work (for example, on our success stories page). Tell us in writing if you prefer not to be referenced, and we will honor it.
10. Confidentiality
Each side will keep the other's non-public information confidential and use it only to perform under this Agreement. Your onboarding material is used solely to research, pitch, and book shows for you.
11. Relationship
We are an independent contractor. Nothing here creates an employment, agency, or partnership relationship, and neither side can bind the other beyond what this Agreement says.
12. Liability
Neither side is liable to the other for indirect, incidental, or consequential damages. Our total liability under this Agreement is capped at the amounts you paid us in the three months before the claim arose. Podcast hosts and their shows are independent third parties, and we are not responsible for what a host publishes, edits, or says.
13. Disputes
This Agreement is governed by the laws of the State of Illinois. Before any formal proceeding, both sides agree to try to resolve a dispute directly within 30 days of written notice. Any proceeding takes place in the state or federal courts located in Cook County, Illinois.
14. Changes
We may update this Agreement from time to time. Changes apply going forward only: we will notify you by email at least 14 days before a change takes effect, and continuing the service after that date is acceptance. If you do not agree, cancel before the change takes effect. The version and effective date at the top of this page identify the text in force.
15. Entire agreement
This Agreement, together with the pricing and placement definitions shown at signup, is the entire agreement between us and replaces any prior discussion. If one clause is found unenforceable, the rest stand. Questions: solomon@thimothy.com.
